Welcome to Audience Pool. Before you proceed with submitting your content on our platform, please review and agree to the following Content Licensing Agreement, Terms & Conditions and Privacy Policy:

This Content Licensing Agreement, Terms & Conditions and Privacy Policy Agreement (the "Agreement") is entered into between The Audiencepool Marketing Services LLC commercial License Number 1496334 issued by Dubai Economy and tourism located in Dubai, United Arab Emirates, ("Audience Pool," "we," "us," or "our") and the user/brand/company ("You," "Creator," "brand" or "User"). By uploading content to Audience Pool, you agree to the terms outlined below.
Creators are solely responsible for ensuring that they are legally permitted to receive payments for their content in their jurisdiction. Audience Pool does not provide legal advice and disclaims liability for non-compliance with local commercial regulations, including but not limited to licensing requirements under UAE law
Audience Pool acts as a commercial intermediary between brands and users and is positioned as a social content platform with monetization features.
1.1 Content Submission: You, the Creator, grant Audience Pool a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, modify, reproduce, distribute, display, and create derivative works from the submitted content ("Licensed Content").
1.2 Moral Rights: You waive any moral rights to the extent permissible by law, allowing Audience Pool and brands to edit or modify content as needed.
2.1 Original Content: You confirm that you are the sole owner and creator of the submitted content and that no third-party rights (including copyright, trademark, or privacy rights) are infringed.
2.2 No Third-Party Elements: You confirm that the content does not contain any material obtained from third-party sources, including but not limited to copyrighted images, videos, or music. Unless licenses and permissions have been sought.
2.3 Model & Property Releases: If your content includes recognizable individuals, you confirm that you have obtained all necessary permissions and model releases.
2.4 Compliance: The content must not be unlawful, defamatory, misleading, pornographic, violent, or otherwise violate Audience Pool's community guidelines.
3.1. General Overview
The Reward Payout terms outlines the terms and conditions under which reward payments are made and received on the Audience Pool platform. By using Audience Pool, both brands and creators agree to abide by these reward payment terms in full.
3.2. For Creators (Users)
3.3 Earnings and Reward Payouts
Creators receive reward payouts when their content is: Selected and downloaded by a brand, approved as part of a tender or campaign submission.
Reward payouts are processed monthly, with a minimum withdrawal threshold of 10 USD (or local equivalent).
Reward payouts are made via supported payment providers (e.g., Stripe, bank transfer), and processing times may vary.
3.4 Commission and Fees
Audience Pool retains a service fee of 20% on all reward payouts generated through the platform. These fees are subject to VAT and other administration fees. This helps maintain the platform and provide continued support. Any applicable transaction fees from payment providers may also apply and are the responsibility of the creator.
3.5 Taxes
Creators are responsible for reporting and paying any taxes applicable in their jurisdiction. Audience Pool may request tax information to comply with local or international tax laws.
3.6. For Brands (Clients)
3.7 Funding Accounts and Campaigns
Brands must subscribe or fund their Audience Pool wallet before launching a campaign or awarding a tender.
Funds can be used to: Pay for assets, campaign submissions, Award tender submissions Upgrade to premium features
3.8 Payment Methods
We accept all major credit cards, bank transfers, and selected online payment systems. Receipts are automatically generated upon each wallet top-up or transaction.
3.9 Refund Policy
Funds deposited into brand wallets are non-refundable unless an error occurs on the part of Audience Pool.
In the case of campaign cancellations before any content is approved or used, remaining funds may be reallocated to future campaigns.
3.10 Content Approval and Payment Release
Brands are required to approve or decline submissions within 7 days of receipt. Approved and downloaded submissions will trigger an automatic payment to the creator from the brand wallet.
3.11. Disputes and Payment Holds
If a dispute arises regarding payments or content approval, Audience Pool will investigate and may place a temporary hold on funds.
Resolution will be made within 14 business days, and both parties will be notified of the outcome.
4.1 Marketing Use: Audience Pool and its partners may use your content for promotional activities, social media, or marketing campaigns without additional compensation.
4.2 Brand Partnerships: Brands using Audience Pool may use licensed content for advertising, social media, and other marketing channels, subject to the agreed terms.
4.3 No Revocation: Once content is submitted and licensed, you cannot revoke usage rights unless mutually agreed upon.
5.1 Account Closure: If you delete your account, previously licensed content remains under its agreed terms.
5.2 Violation of Terms: Audience Pool may remove content or terminate accounts found in violation of this Agreement.
5.3 Legal Disputes: If legal issues arise regarding ownership, Audience Pool reserves the right to suspend or remove content until resolution.
6.1. Wallet Overview
The Wallet feature in our app enables you to store funds for use within the app's ecosystem. Wallet balances are held in trust by our regulated third-party payment provider [STRIPE], licensed under UAE laws.
6.2. Top-Up & Usage
You may top up your Wallet using supported payment methods. Topped-up funds can only be used for transactions within the app and are non-transferable to other platforms.
6.3. Refunds & Withdrawals
Wallet balances are refundable upon request, subject to KYC and AML verification, and any applicable transaction fees. Refunds will be processed to the original payment method when possible.
6.4. Inactivity & Dormant Accounts
If your wallet remains inactive for 12 consecutive months, it may be marked as dormant. You will be notified via email before this occurs.
A monthly dormancy fee of [4 USD ] may apply thereafter, deducted from your wallet balance.
6.5. Unclaimed Funds
If your wallet balance remains unclaimed for more than [36 months] after dormancy begins, and we are unable to contact you, the remaining balance may be reported to the UAE authorities as unclaimed funds in accordance with applicable law.
6.6. Termination of Wallet
We reserve the right to suspend or terminate wallet access if fraudulent, suspicious, or prohibited activities are detected. Any remaining funds, after lawful deductions, may be returned to the user upon request.
6.7. Regulatory Compliance
All wallet-related transactions comply with the regulations of the UAE Central Bank and/or any governing authority under whose license our payment provider operates.
7.1 No Liability: Audience Pool is not responsible for any misuse of licensed content by third parties.
7.2 Indemnification: You agree to indemnify Audience Pool its affiliates, officers, agents, employees against claims resulting from breaches of this Agreement.
8.1 Modifications: Audience Pool may update this Agreement as needed. Continued use of the platform constitutes acceptance of revised terms.
8.2 Governing Law: This Agreement is governed by the laws of the United Arab Emirates and the Emirate of Dubai.
8.3 Entire Agreement: This document constitutes the full agreement between you and Audience Pool regarding content licensing.
