Tendering & Content Bidding Terms

1. Overview

Audience Pool provides a Tendering System that allows brands to create content requests (referred to as "Tenders"), enabling content creators ("Users") to submit original work in exchange for compensation. By participating in the Tendering System, both Brands and Users agree to the following terms and conditions.

2. Tender Creation & Submission Process

Brands may create Tenders outlining content requirements, guidelines, compensation, and deadlines.

Users may submit interest by submitting their profile, websites, portfolio and social media channels in response to active Tenders.

Brands reserve the right to accept, reject, or request revisions to any submissions based on the amount of revisions requested.

3. Compensation & Payment Terms

Brands must specify the payment value in the Tender that users can see and start bidding upon.

Payments are processed through Audience Pool's escrow system and held until final approval of the content.

Once a submission is approved by the Brand, the agreed-upon payment is released to the User, and all ownership rights to the content transfer to the Brand as outlined in Section 5.

If a submission is rejected or does not meet revision requests, no payment is owed to the User.

4. Revision & Approval Process

Brands may request reasonable revisions from Users before final approval.

Users must complete revision requests within the specified timeframe to remain eligible for payment.

If a User fails to submit revisions on time, the Brand may cancel the submission without compensation.

5. Ownership & Usage Rights

Upon final approval and payment, all rights, including copyright and usage rights, are transferred to the Brand.

Users acknowledge that once approved, they waive any claims of ownership, royalties, or future compensation for the content.

Brands may use the content for commercial, advertising, and promotional purposes without additional approvals from the User.

6. User Warranties & Compliance

By submitting content, Users represent and warrant that:

The submission is their original work and does not infringe on third-party rights.

The content does not contain copyrighted, trademarked, or unauthorized third-party materials.

They have obtained all necessary permissions and releases (if applicable) for any identifiable individuals, locations, or intellectual property featured in the submission.

7. Dispute Resolution & Liability

Audience Pool is not liable for disputes between Brands and Users regarding content quality, payment, or approval decisions.

If a dispute arises, Audience Pool may (but is not obligated to) act as a neutral mediator.

Refunds or payment reversals are at Audience Pool's sole discretion based on evidence of non-compliance with these terms.

8. Termination & Policy Violations

Any User found submitting plagiarized, AI-generated, or non-compliant content may be permanently banned from the platform.

Brands found to be withholding payments unfairly or engaging in unethical content practices may have their accounts suspended.

9. Acknowledgment & Acceptance

By participating in the Audience Pool Tendering System, both Brands and Users acknowledge and agree to these terms. Continued use of the platform constitutes full acceptance of these conditions.
